Clear responsibilities for every participant.
These prototype terms explain how organisers, backers and the protocol interact during Devnet testing. They are not the final terms for a public or mainnet service.
Operator and legal status
Prima Ordia is being developed as a non-custodial DeFi protocol and software interface. Campaign settlement rules are intended to be executed by Solana programs rather than through custody of user funds by Prima Ordia.
The legal operator and governing jurisdiction have not yet been designated. Nothing on this prototype represents that Prima Ordia is licensed, registered or authorised as a virtual asset service provider, financial institution, charity, broker, investment platform or payment institution. The final operating model must be reviewed by qualified counsel before public launch.
Eligibility and territorial availability
You must be at least 18 years old and legally capable of entering a binding agreement. You may not use the service if doing so is prohibited by the laws that apply to you.
Prima Ordia is designed for broad international availability, but it is not available in sanctioned, embargoed or otherwise restricted jurisdictions, or to sanctioned or prohibited persons. Access may also be limited where local fundraising, consumer, charity, securities, payments, tax or virtual-asset rules require registration or prohibit the activity.
The service
Prima Ordia provides interfaces for publishing campaigns and receiving support through wallet-signed Solana payments. Card and bank payments are not currently offered. The service does not promise that a campaign will succeed or that a creator will deliver an off-chain outcome.
Campaign contributions are not deposits and do not create equity, debt, profit-sharing, ownership or a financial return unless a separately authorised offering expressly states otherwise. Prima Ordia does not provide investment, legal, tax or financial advice.
Creator responsibilities
Creators must provide accurate identity, beneficiary, ownership, budget, risk and delivery information; hold necessary rights to campaign content; post material updates; use funds for the stated purpose; and comply with applicable consumer, tax, fundraising, charity, sanctions and financial laws.
Before signing, creators must review the recipient wallet and every campaign detail. Once the wallet-signed campaign is created, the original campaign information and funding rules are locked and cannot be edited, replaced or corrected. Creators may publish dated progress updates, but those updates do not alter the original campaign record.
Creators authorise identity, company, beneficial-owner, sanctions, politically exposed person and adverse-media checks where required. A verification badge is a recorded check, not an endorsement or guarantee.
Backer responsibilities
Backers must review the funding model and transaction before signing, understand that contributions may be irreversible, keep wallet credentials secure and avoid treating a contribution as an investment unless a separately authorised offering expressly says otherwise.
Funding-model outcomes
- Social Funding: supported SOL and canonical native USDC payments settle on Solana and are normally final. USDC is supported on Solana only; bridged or differently issued USDC tokens are rejected.
- Creator Funding: SOL or native Solana USDC creates a prepaid, fixed-duration stream that does not renew automatically.
Fees and network costs
- Prima Ordia adds a 2% platform fee to the patron's support amount across Social and Creator Funding.
- The fundraiser receives the published support principal under the applicable settlement rules.
Solana network fees and any wallet, exchange or conversion charges may apply separately and should be reviewed before confirmation.
Conventional payments and payouts
Prima Ordia may offer conventional card or bank payments through Stripe for eligible memberships, merchandise and campaigns. Availability depends on the product, currency, country and successful payment configuration. Supported SOL and canonical native USDC transactions are initiated separately by the user's wallet and settled on Solana. USDC support is Solana-only.
Founding Patron
Prima Ordia Founding Patron is a personal, non-transferable lifetime platform membership offered for a one-time price of US$1,999. “Lifetime” means for the period in which Prima Ordia continues to operate the Founding Patron programme; it is not a guarantee that the platform, any feature or the programme will operate indefinitely.
Membership benefits may include permanent Founding Patron status, selected early-access invitations, member communications, periodic product-feedback opportunities and optional recognition on a Founding Patrons roll. Feedback opportunities are consultative. Membership does not create governance, voting, fiduciary, control or decision-making rights.
Founding Patron membership is not crowdfunding, a donation, an investment, a security or a financial product. It provides no equity, ownership, token allocation, revenue share, profit entitlement, transferable interest or guaranteed financial return.
New Founding Patron enrolment is available through Stripe Checkout whenever the Founding Patrons page shows checkout as available. The one-time price, payment method and applicable refund information are shown before payment. Statutory rights are not excluded.
Prima Ordia may make reasonable changes to member benefits for security, legal, operational or product reasons, but will not convert the membership into a recurring paid plan without the member's express agreement.
PRIMA MEMBER
PRIMA MEMBER is a personal, non-transferable recurring platform membership. It is offered at US$19.99 per month or US$191.90 per year. The annual price represents a 20% saving against twelve monthly payments, rounded to the nearest cent.
The selected plan renews automatically at the then-current disclosed price until cancelled. Members may cancel future renewal before the next billing date. Cancellation stops future charges but does not ordinarily create a refund for a period that has already begun, except where required by law or expressly stated in the refund process.
Benefits may include an active PRIMA MEMBER badge, a signed-in member dashboard, priority support, selected early feature access, campaign-planning resources, member briefings and 10% off eligible Prima Ordia shop merchandise orders with a subtotal over US$100. The shop benefit requires sign-in with the membership account and is applied before tax. Availability may vary by product stage, capacity, safety and law. Prima Ordia may reasonably change benefits but will disclose material pricing or renewal changes as required.

New paid membership enrolment is available through Stripe Checkout whenever the membership page shows checkout as available. Existing records are retained for support and accounting as required. Mandatory consumer rights are not excluded.
The PRIMA50 launch offer may be redeemed through 31 October 2026. It provides 50% off the first three monthly payments. For an annual enrolment, the first invoice receives an equivalent fixed credit based on 50% of three monthly payments; it does not reduce the entire annual price by 50%. The offer is limited to one redemption per verified account.
Affiliate programme
Approved affiliates receive a unique Rewardful referral link. Unless an individual written agreement states otherwise, the standard rate is 20% of eligible PRIMA MEMBER revenue and 20% of eligible Prima Ordia AI revenue actually paid during each referred subscriber's first 12 paid months.
Tax, refunds, chargebacks, disputed payments, fraudulent activity, self-referrals and prohibited promotions are excluded. Commission remains pending for at least 30 days and becomes eligible for manual payout after the available US-dollar balance reaches US$50. Payout availability and timing depend on the affiliate's country, successful provider checks and the payment rails available to Prima Ordia. Prima Ordia and the affiliate must agree an available payout method before payment.
No affiliate commission is paid from cause funding, creator-support principal, SOL or USDC contributions, investments, token activity or money belonging to a creator or supporter. Prima Ordia may suspend, reject or reverse commission for spam, impersonation, misleading claims, prohibited content, refund abuse, artificial referrals or any breach of these terms.
The paid affiliate programme is separate from Prima Creator. Creators may use and share their own Prima Creator profiles, but doing so does not create an affiliate commission unless Prima Ordia later agrees to a separate written programme.
Affiliates must clearly and prominently disclose the commercial relationship wherever required, using plain wording such as “Affiliate link” or “Ad”. Affiliates must not promise funding, income, investment returns, token appreciation or guaranteed outcomes, and may not present themselves as Prima Ordia employees or authorised financial representatives.
Approval is discretionary and may be withdrawn for safety, legal, reputational, operational or compliance reasons. Affiliates remain responsible for their own tax, registration, disclosure and record-keeping obligations.
PRIMA Worklife Coach
PRIMA Worklife Coach is an automated artificial-intelligence feature for general workplace reflection, communication preparation, written roleplay and personal pattern tracking. It is not a therapist, counsellor, doctor, lawyer, human-resources service, recruiter, emergency service or substitute for qualified professional advice.
Outputs may be incomplete, inaccurate or unsuitable for a user's circumstances. Users remain responsible for checking important information and deciding whether to act. The feature must not be used to make employment decisions about another person, diagnose a condition, obtain emergency assistance, or generate unlawful, deceptive, discriminatory, harassing or violent conduct.
Free and paid usage allowances, supported models and individual features may change to protect safety, quality, capacity and sustainable operating costs. PRIMA MEMBER provides an expanded fair-use allowance rather than unlimited AI usage.
Optional Worklife email and browser push reminders are provided as a convenience and may be delayed or not delivered. Email is limited to no more than one due-reminder digest per day; time-sensitive browser push requires explicit device permission. Users remain responsible for their meetings, deadlines and workplace decisions. Reminder choices can be changed in the dashboard and each reminder email includes an unsubscribe method.
Prohibited activity
Fraud, impersonation, illegal goods or services, sanctions evasion, money laundering, terrorist financing, malware, stolen content, misleading financial claims, market manipulation, harassment and attempts to bypass campaign settlement rules are prohibited.
Prima Ordia may reject, restrict, hide or refer a campaign where required for safety, legal compliance or investigation. Blockchain transactions that have already settled cannot necessarily be reversed.
Suspension and termination
Access may be suspended or terminated for a terms breach, suspected fraud, sanctions risk, security incident, legal request or risk to users or the protocol. Termination of the website account does not erase public blockchain records or override settlement rights already encoded on-chain.
Disputes, governing law and smart-contract risk
On-chain transactions can be irreversible and may be affected by software defects, network interruption, wallet compromise or third-party infrastructure. Governing law and dispute procedures will be published after the legal operator and jurisdiction are designated. Mandatory consumer and local laws may apply regardless of that designation.
